Charge to the KZSU Board of Directors

Purpose
The Board of Directors of KZSU, the radio station at Stanford University (hereafter "the Board"), shall oversee the operations of KZSU and shall act as the governing body for KZSU. The Board is the delegate of and liaison to the President of the University and the Licensee, the Board of Trustees of the Leland Stanford Junior University.
Membership
The Board shall have eight voting members:
Nominations
The representatives of the President and the Board of Trustees shall be nominated by the President of the University. The student-at-large shall be nominated by the Nominations Commission of the Associated Students of Stanford University. The KZSU staff member shall be nominated by his or her staff peers. All nominations shall be forwarded to the President of the University for final approval and appointment.
Appointment of Members
The members of the Board shall be appointed by the President of the University for a term of one year, the terms to be decided on a staggered basis. All regular terms shall commence September 1.
Chair
The Chair of the Board shall be one of the faculty members and shall be appointed by the President. The Chair shall serve a one-year term renewable for up to three consecutive years.
Vacancies
Should a vacancy occur on the Board, for reasons other than expiration of terms, the remaining Board members shall request that the appropriate nominations source submit, within a month, a nomination to be forwarded to the President for appointment.
Meetings
Board meetings will be called by the Chair. The Board shall meet at least once per quarter, except that meetings during the summer quarter are optional.
Quorum
Five members of the Board shall constitute a quorum. Voting by proxy is not permitted.

This charge may be amended upon the affirmative vote of a majority of the Board and the subsequent approval by the President of the University.
Staff Support
Staff support for the Board shall be provided by the Office of the Dean of Students or by one or more of the representatives of the President and the Board of Trustees.
Reporting
The Chair of the Board shall submit an annual report of its discussions, actions, and recommendations to the President of the University no later than August 1st of the committee year.
