Purpose

The Board of Directors of KZSU, the radio station at Stanford University (hereafter "the Board"), shall oversee the operations of KZSU and shall act as the governing body for KZSU. The Board is the delegate of and liaison to the President of the University and the Licensee, the Board of Trustees of the Leland Stanford Junior University.

Membership

The Board shall have eight voting members:

Five persons (at least one of whom must be a member of the Academic Council) named by the President as representatives of the President and the Board of Trustees.

One student-at-large who is registered for the entire term of membership and who may not be a staff member of KZSU.

One member of the KZSU staff, other than the General Manager, who must be a student registered for the entire term of membership.

The General Manager of KZSU.

Nominations

The representatives of the President and the Board of Trustees shall be nominated by the President of the University. The student-at-large shall be nominated by the Nominations Commission of the Associated Students of Stanford University. The KZSU staff member shall be nominated by his or her staff peers. All nominations shall be forwarded to the President of the University for final approval and appointment.

Appointment of Members

The members of the Board shall be appointed by the President of the University for a term of one year, the terms to be decided on a staggered basis. All regular terms shall commence September 1.

Chair

The Chair of the Board shall be one of the faculty members and shall be appointed by the President. The Chair shall serve a one-year term renewable for up to three consecutive years.

Vacancies

Should a vacancy occur on the Board, for reasons other than expiration of terms, the remaining Board members shall request that the appropriate nominations source submit, within a month, a nomination to be forwarded to the President for appointment.

Meetings

Board meetings will be called by the Chair. The Board shall meet at least once per quarter, except that meetings during the summer quarter are optional.

Quorum

Five members of the Board shall constitute a quorum. Voting by proxy is not permitted.

Responsibilities of the Board

In addition to overseeing the operations of the station, the Board shall:

Provide the foundation for continuous and consistent training and management for the KZSU staff.

Consider and approve all policies of the station for programming and participation and assure compliance with University policies before station policies are put into effect. The Board shall have the authority to decide what policies shall be delegated to the General Manager for his or her administration.

Annually appoint a successor General Manager from nominees submitted by the current General Manager on behalf of the station staff.

Approve or disapprove the General Manager’s nomination of the Business Manager and the Chief Engineer.

Exercise its authority to remove any officer or member of the staff of KZSU for unsatisfactory performance of duties or for other reasonable cause. Help ensure that the station meets the requirements by which its license is held.

Amendments

This charge may be amended upon the affirmative vote of a majority of the Board and the subsequent approval by the President of the University.

Staff Support

Staff support for the Board shall be provided by the Office of the Dean of Students or by one or more of the representatives of the President and the Board of Trustees.

Reporting

The Chair of the Board shall submit an annual report of its discussions, actions, and recommendations to the President of the University no later than August 1st of the committee year.
